TaniTokou Terms of Service & Use

TaniTokou is a product operated by Sohugy Dynamics Enterprise ("Sohugy Dynamics", "TaniTokou", "we", "us" or "our").

These Terms of Service & Use ("Terms") govern your access to and use of the TaniTokou website, marketplace, accounts, chat system, ordering, payment functions and related services.

By creating an account, accessing or using TaniTokou, or proceeding with a transaction through TaniTokou, you agree to these Terms.

If you do not agree, you should stop using TaniTokou.

1. About TaniTokou

TaniTokou is a digital marketplace designed to help grassroots producers and local enterprises make their produce, products and services available to buyers.

TaniTokou may provide facilities including:

  • product discovery and listings;
  • buyer and merchant accounts;
  • order management;
  • chat;
  • payment facilitation;
  • fulfilment arrangements;
  • transaction notifications; and
  • other functions introduced over time.

Unless expressly stated otherwise for a particular transaction, TaniTokou is not the producer, grower, manufacturer or owner of goods listed by third-party merchants.

The merchant remains responsible for the goods or services they offer.

2. Service Operator

These particulars are supported by Sohugy Dynamics Enterprise's current trading licence.

3. Eligibility

You must have the legal capacity required to use TaniTokou's transactional functions.

If you use TaniTokou for a business, organisation, community or other entity, you represent that you have appropriate authority to act on its behalf.

You are responsible for ensuring your use complies with laws applicable to you.

4. User Accounts

You must provide accurate and non-misleading information when creating or maintaining an account.

You are responsible for:

  • keeping account information current;
  • protecting your authentication methods;
  • preventing unauthorised access;
  • notifying TaniTokou of suspected misuse; and
  • taking reasonable steps to secure your account.

You may not impersonate another person or business, conduct transactions under a false identity, or use another person's account without permission.

5. Merchant Responsibilities

Merchants are responsible for the listings, goods and services they publish.

Merchants must ensure that:

  • they have the right to sell or provide the item;
  • descriptions are accurate;
  • prices are accurate;
  • availability and quantities are reasonably current;
  • images are not misleading;
  • claims regarding origin, quality, halal status, certification or similar characteristics are legitimate;
  • applicable laws are complied with; and
  • accepted orders are fulfilled as agreed.

6. Listing Rules

TaniTokou prioritises produce, products and services consistent with its purpose as a marketplace for grassroots and local enterprises.

Illegal, stolen, counterfeit, misleading, infringing or unlawfully regulated items are prohibited.

TaniTokou may also restrict mass-produced, OEM or merely rebranded goods where they are inconsistent with the intended grassroots marketplace.

TaniTokou may reject, hide, suspend or remove listings that breach these Terms or platform policies.

7. Prices

Merchants determine the amount they wish to receive for their goods or services, subject to TaniTokou's available functions and rules.

Before confirmation, buyers will be shown applicable prices and charges.

These may include:

  • merchandise value;
  • TaniTokou service charges;
  • logistics charges;
  • payment-related charges; and
  • other clearly disclosed costs.

TaniTokou will not intentionally introduce undisclosed charges only after payment confirmation.

8. Orders

Adding an item to a cart does not itself reserve or purchase that item.

An order may require merchant review, quantity confirmation, fulfilment arrangements, acceptance and payment before becoming confirmed.

The status shown by TaniTokou indicates the current stage of the transaction.

TaniTokou may hold or cancel an order for reasons including obvious errors, failed payment, fraud risk, security concerns, breach of these Terms or reasonable operational reasons.

9. Buyer-Merchant Contract

Unless expressly stated otherwise, the underlying contract for a merchant-listed item is between the buyer and the relevant merchant.

TaniTokou provides the marketplace and may facilitate communications, payment, order records and fulfilment.

This does not remove obligations imposed on Sohugy Dynamics Enterprise by applicable law as an online marketplace or platform operator.

10. Payments

Supported payments may be processed by third-party providers such as Billplz.

By proceeding with payment, the buyer authorises necessary transaction information to be transmitted to the relevant payment provider.

A payment is successful only once valid confirmation is received.

TaniTokou does not ask users to provide their online-banking passwords directly to TaniTokou.

11. TaniTokou Fees

TaniTokou may charge service or other fees for certain transactions or functionality.

The amount or method of calculation will be shown before final confirmation.

Rates may change prospectively. A changed rate will not ordinarily apply retrospectively to a transaction already confirmed under an earlier rate.

12. Delivery, Pickup and Fulfilment

Available fulfilment methods may include:

  • buyer pickup;
  • merchant delivery;
  • buyer-arranged transportation;
  • third-party runners or transporters; or
  • logistics coordinated through TaniTokou.

Unless TaniTokou expressly states that Sohugy Dynamics Enterprise itself is providing transportation, the party performing that service is responsible for its performance.

Delivery estimates are not necessarily guaranteed arrival times.

13. Cancellations and Refunds

Cancellation availability depends on the status of the order.

Cancellation may become restricted once produce has been harvested, made-to-order production has begun, goods have been dispatched or another irreversible fulfilment step has occurred.

If a merchant cannot fulfil a paid order, the amount attributable to the unfulfilled portion should be refunded or otherwise lawfully resolved.

Disputes may be evaluated using payment records, order status, fulfilment evidence, product condition, original listing information and relevant communications.

Nothing in these Terms is intended to remove consumer rights that cannot lawfully be excluded.

14. Natural Variation

Agricultural, fishery, livestock and handmade goods may naturally vary in size, colour, shape, weight, maturity or appearance.

This does not permit merchants to supply items that are materially different from their description, unsafe or misleading.

15. Pre-Orders and On-Demand Production

Some goods may not yet be harvested or may only be produced after an order is received.

Displayed harvest, production or availability dates may be estimates unless expressly stated otherwise.

Any deposit or staged-payment requirements will be disclosed before the transaction is confirmed.

16. TaniTokou Chat

Users connected through TaniTokou must use TaniTokou chat for transaction-related communications arising from that connection.

Users may not use chat for harassment, spam, fraud, malicious content, unnecessary sensitive-information requests, impersonation or unlawful activity.

People who already know one another independently of TaniTokou remain free to communicate through channels of their own choosing.

17. Anti-Circumvention and No "Phonebook" Use

TaniTokou is intended to facilitate discovery, communication and transactions. It is not a directory, "phonebook", prospect database or lead-generation service for conducting transactions outside TaniTokou.

Where a buyer and merchant first discover, contact or become connected with one another through TaniTokou (a "TaniTokou-Originated Connection"), users must not use TaniTokou to obtain the other party's contact information for the purpose of circumventing TaniTokou's systems, transaction processes, records or charges.

Prohibited conduct includes:

  • requesting or providing telephone or WhatsApp numbers for the purpose of moving a TaniTokou-originated transaction off-platform;
  • requesting or providing email addresses, social-media accounts or other contact information for that purpose;
  • directing another user through TaniTokou chat to continue a transaction through WhatsApp, Telegram, social media, email or another platform;
  • requesting or providing bank-account details, payment QR codes, external payment links or direct-payment methods for the purpose of bypassing TaniTokou;
  • discovering prospective merchants or customers through TaniTokou and subsequently contacting them outside TaniTokou to transact as a result of that discovery;
  • moving an order being discussed, negotiated or arranged through TaniTokou off-platform to avoid TaniTokou processes or charges;
  • cancelling a TaniTokou transaction for the purpose of completing the same or substantially similar transaction outside TaniTokou; or
  • using free TaniTokou functions primarily to obtain commercial leads, customers, suppliers or contact information for external trading.

Pre-existing relationships

This Section is not intended to regulate relationships that genuinely existed independently of TaniTokou.

Where a buyer and merchant already knew one another, or had a reasonably demonstrable commercial relationship before their connection through TaniTokou, they remain free to communicate or transact through channels of their own choosing.

TaniTokou does not claim exclusive ownership of anyone's customers, suppliers or business relationships.

Users must not falsely claim that a relationship pre-dated TaniTokou in order to circumvent these Terms.

TaniTokou-originated transactions

Where a transaction has been initiated, negotiated, arranged or materially facilitated through TaniTokou, it must be completed through the applicable TaniTokou process unless TaniTokou:

  • expressly permits otherwise; or
  • provides a function that directs completion through another channel.

The purpose of this Section is not to prevent genuine business relationships.

Its purpose is to prevent TaniTokou from being used as a free commercial-contact source while deliberately bypassing the services that created that connection.

Serious or repeated violations may result in warnings, feature restrictions, suspension or termination.

To the extent permitted by applicable law, Sohugy Dynamics Enterprise may also take reasonable steps to recover charges or losses directly resulting from deliberate circumvention.

18. Prohibition on Scraping, Data Harvesting and Reuse

Access to TaniTokou permits you to view and use information made available through the service only to the extent reasonably necessary for ordinary use of TaniTokou.

Access does not grant permission to use TaniTokou as a data source for databases, products, services, commercial research, market intelligence, automated systems or other third-party purposes.

For these Terms, "TaniTokou Data" includes, where applicable:

  • merchant profiles;
  • product or service listings;
  • titles and listing names;
  • descriptions;
  • prices;
  • quantities;
  • availability;
  • general locations;
  • photographs and media;
  • produce and product information;
  • metadata;
  • categories and taxonomies;
  • search results;
  • filtering results;
  • arrangement, grouping or rankings;
  • displayed demand or supply information;
  • statistics provided by TaniTokou;
  • aggregated or derived information;
  • merchant or buyer information available through platform functions; and
  • other collections or displays of information made available through TaniTokou.

Unless expressly authorised by Sohugy Dynamics Enterprise, you must not:

  • scrape TaniTokou;
  • crawl, spider or harvest TaniTokou;
  • automatically extract data;
  • use bots, scripts, crawlers, browser automation or software agents to collect information;
  • systematically copy pages or content;
  • bulk-download information;
  • systematically or at scale collect information manually;
  • systematically monitor or record price, inventory, availability or listing changes;
  • create databases derived from TaniTokou Data;
  • create directories of merchants, products, prices or customers;
  • build prospect or lead lists;
  • use TaniTokou Data as a source for third-party price-comparison services;
  • create marketplaces, catalogues or platforms based upon TaniTokou Data;
  • sell, rent, license, republish or redistribute TaniTokou Data;
  • use TaniTokou Data for third-party competitive intelligence or market monitoring;
  • use TaniTokou Data to train, evaluate, fine-tune or develop AI or machine-learning models;
  • use TaniTokou Data to create embeddings, vector databases, knowledge bases, retrieval systems or datasets;
  • use TaniTokou Data to contact or market to merchants or buyers outside TaniTokou;
  • mirror or substantially archive TaniTokou content on another system;
  • circumvent rate limits, access controls, technical directives or security measures; or
  • use another method having substantially the same effect.

These restrictions apply regardless of whether the information:

  • is available free of charge;
  • is publicly viewable;
  • is available only after login;
  • is available through a paid account;
  • is obtained through the user interface;
  • is obtained through network requests;
  • is obtained through an endpoint or API; or
  • can technically be accessed without bypassing a password.

The ability to view information does not constitute permission to collect, extract or reuse it.

Ordinary use is permitted

This Section does not prohibit normal use of TaniTokou.

For example, buyers may:

  • view products;
  • compare reasonable numbers of listings when deciding what to purchase;
  • retain information concerning their own orders;
  • use their own receipts and transaction records; and
  • use information necessary to complete a TaniTokou transaction.

Merchants remain free to use content and data that they themselves own or supplied to TaniTokou, subject to the rights of others.

General-purpose search engines

General-purpose search engines may index TaniTokou's public pages only to the extent permitted by TaniTokou's technical directives, including:

  • robots.txt;
  • robot metadata; or
  • other mechanisms designated by TaniTokou.

That permission exists solely to enable ordinary search results that direct users back to TaniTokou.

It does not authorise the use of TaniTokou Data for commercial datasets, AI training, generative systems, directories, analytics products, price databases or other third-party data products.

Express permission

Uses beyond ordinary use are permitted only where Sohugy Dynamics Enterprise expressly authorises them through:

  • a written agreement;
  • a data licence;
  • an API expressly made available for the relevant purpose; or
  • another mechanism clearly defining the permitted use.

The absence of a technical restriction does not constitute permission.

TaniTokou may take reasonable technical measures to prevent unauthorised collection, including rate limiting, access blocking, account restrictions and other security measures.

Violations may result in blocked access, account suspension or termination, and other remedies available under applicable law.

19. Prohibited Conduct

In addition to other restrictions in these Terms, you must not use TaniTokou to:

  • commit fraud;
  • steal or misuse accounts;
  • interfere with service security;
  • attack or test systems without authorisation;
  • distribute malware;
  • create fraudulent transactions;
  • abuse payment systems;
  • harass other users;
  • list prohibited goods;
  • infringe intellectual-property rights;
  • circumvent TaniTokou contrary to Section 17;
  • harvest or reuse TaniTokou Data contrary to Section 18; or
  • assist another person in doing so.

20. User Content

You retain your rights in original content that you own and submit to TaniTokou.

By providing photographs, descriptions, product names or other content for use through TaniTokou, you grant Sohugy Dynamics Enterprise a:

  • non-exclusive;
  • royalty-free; and
  • TaniTokou-related

licence to store, technically copy, process, resize, format, display and distribute that content as reasonably necessary to:

  • operate TaniTokou;
  • display your listings;
  • provide search and discovery;
  • facilitate transactions; and
  • promote TaniTokou or the relevant listing.

You represent that you have the rights or permissions required to submit that content.

21. TaniTokou Intellectual Property and Compilation

TaniTokou branding, original software, designs, documentation, interfaces and Sohugy Dynamics Enterprise materials may not be copied, sold, distributed or used to impersonate TaniTokou without permission.

To the extent protected by applicable law, the selection, organisation, categorisation and presentation of information within TaniTokou, together with TaniTokou-generated metadata, derived information, software and original materials, are proprietary materials of Sohugy Dynamics Enterprise.

Nothing in these Terms grants a licence to extract or reuse those materials except as expressly permitted.

A merchant's rights in their own original content are not transferred to Sohugy Dynamics Enterprise except for the limited licence described in Section 20.

22. Suspension and Termination

TaniTokou may restrict, suspend or terminate an account where there are reasonable grounds to believe that a user:

  • breaches these Terms;
  • commits fraud;
  • harms other users;
  • lists unlawful items;
  • repeatedly fails to fulfil transactions;
  • abuses payment systems;
  • attempts to circumvent security measures;
  • uses TaniTokou as a phonebook or circumvention tool;
  • engages in unauthorised scraping or data harvesting; or
  • creates serious legal, operational or security risk.

Where circumstances permit, TaniTokou may provide an explanation or opportunity to resolve the issue.

Immediate action may be taken in cases involving fraud, serious security concerns or comparable misconduct.

23. Service Availability

We aim to keep TaniTokou available and operating properly but do not guarantee uninterrupted availability.

Maintenance, upgrades, network problems, third-party outages, security incidents and circumstances beyond reasonable control may affect the service.

Features may be introduced, tested, modified or withdrawn as TaniTokou develops.

Such changes do not remove rights or obligations already arising from confirmed transactions.

24. Responsibility and Limitation of Liability

TaniTokou will take reasonable measures to operate the platform and functions under its control.

Because goods and services may be provided by independent merchants, TaniTokou cannot guarantee every representation or action of every user.

To the extent permitted by law, Sohugy Dynamics Enterprise will not be responsible for unforeseeable indirect or consequential losses resulting from matters outside TaniTokou's reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded under Malaysian law.

25. Complaints and Disputes

For problems relating to an order or use of TaniTokou, contact:

TaniTokou may request information reasonably required to investigate, such as:

  • order references;
  • payment evidence;
  • photographs;
  • fulfilment records; or
  • transaction-related communications.

Nothing in these Terms prevents an eligible consumer from using remedies available under Malaysian law.

The Tribunal for Consumer Claims Malaysia currently hears qualifying consumer claims up to RM50,000 that accrued within three years. Purchases for business purposes or made in a company's name are outside its stated definition of a consumer claim.

Personal-data handling through TaniTokou is governed by the:

27. Account Deletion

Users may request account deletion in accordance with the:

Account deletion does not erase obligations arising from prior transactions or statutory record-retention obligations.

28. Changes to These Terms

TaniTokou may update these Terms when:

  • the service develops;
  • operating models change;
  • new functions are introduced;
  • security requirements change; or
  • applicable law or regulation changes.

The latest version will display a revised Last Updated date.

Material changes affecting existing rights or obligations may be separately notified where appropriate.

29. Governing Law

These Terms are governed by the laws of Malaysia.

Nothing in these Terms is intended to remove mandatory rights or protections available under Malaysian law.

30. Language

These Terms are available in Bahasa Malaysia and English.

Both versions are intended to carry the same meaning.

If there is an unintended inconsistency between them, the Bahasa Malaysia version will prevail, subject to applicable law.
